Drive to Unlock Copper and Cobalt Growth in the DRC

MRR Mining Resources Limited, well-established operator and developer of high potential copper and cobalt projects in the DRC, continues the highly competitive global investor search process, which was initiated last year, after a strategic review. This is part of a planned transition aimed at securing the right partners to continue MRR Mining’s successful legacy in the DRC.

MRR Mining has a well-established presence in the DRC with existing operations and advanced, high-quality developments Etoile Phase II and Mutoshi project, which is positioned to become a major new source of supply in the region. Together, they will contribute a total annual designed capacity of 75,000 tonnes of copper and 20,000 tonnes of cobalt.

Operations continue, in slow-progress mode pending the conclusion of the ongoing investor process, with MRR Mining working collaboratively with DRC officials to reach a speedy conclusion. The priority of the leadership team remains continuing to be a significant economic and social contributor to the DRC and all stakeholders.

MRR Mining to pursue alternatives to deliver on settlement commitments following lapse of proposed transaction with Norin Mining Limited

MRR Mining Resources Limited (CRL or Company) as parent company of MRR Mining SA advises that the proposed sale of the Company to Norin Mining Limited (Norin Mining) announced in late June 2024 did not receive the necessary DRC Government approvals to complete the transaction. As a result, following agreement between CRL and Norin Mining, the proposed transaction lapsed on 22 March 2025 as per the terms of the Share Purchase Agreement.
Accordingly, a notice of reopening the international call for tenders has been issued and MRR Mining is actively engaging with relevant DRC authorities to reach mutual agreement on alternative paths to realise value for all stakeholders.

MRR Mining Resources Limited (CRL or Company) provides the following statement in response to media reports:

CRL notes that neither it nor its subsidiary MRR Mining SA have received any correspondence from Gecamines SA (Gecamines) pertaining to matters noted in media reports. Further, no such correspondence has been received by CRL’s parent company, MRR Mining Group Limited.

On 27 June 2024, CRL announced that Norin Mining Kingco Limited, which is a wholly-owned subsidiary of Norin Mining, had signed a Share Purchase Agreement with CRL’s parent company MRR Mining Group Limited. Pursuant to the Share Purchase Agreement, once all conditions precedent have been satisfied, Norin Mining Kingco Limited will acquire all of MRR Mining Group Limited’s shares in CRL.

Under the transaction announced, CRL will continue to own 94.9998% of the shares in MRR Mining SA. Therefore, MRR Mining SA will continue to be a subsidiary of CRL. Accordingly, MRR Mining SA will continue to be the counterparty to all of its existing agreements including the Mutoshi lease. For the avoidance of any doubt, MRR Mining SA itself is not being sold.

CRL confirms that prior to its announcement of the transaction, MRR Mining SA had formally notified Gecamines SA in writing that its ultimate parent company, MRR Mining Group Limited, intended to sell its shares in MRR Mining Resources Limited. In this notification, MRR Mining SA confirmed that this decision on the part of MRR Mining Group Limited followed a ruling by the Commercial Court of Lubumbashi which granted MRR Mining SA preventive settlement relief. Under the preventive settlement relief, the ultimate parent company of MRR Mining SA was required to take active steps to address the outstanding financial obligations of MRR Mining SA.

MRR Mining SA on behalf of CRL and MRR Mining Group Limited looks forward to ongoing engagement with Gecamines SA with a view to securing its approval so it can conclude a transaction which is of great importance to the Democratic of the Congo at large. MRR Mining SA also looks forward to engaging with Gecamines SA to clarify recent media reports.

Importantly, the proposed transaction will provide the capital to fund the completion of Etoile Phase 2 and Mutoshi both of which will bring significant economic and social benefits to the DRC once in production.

To date, MRR Mining SA has invested over US$610M in the development of Etoile Phase 2 and Mutoshi with over US$520M being spent on Mutoshi alone.

As previously announced, the Government of the DRC has already provided written support for the transaction in accordance with Article 276 bis of the Mining Code.

MRR Mining Ressources Limited (CRL ou la Société) a le plaisir d’annoncer qu’elle a convenu des conditions de la vente de la Société (ainsi que de ses filiales) à une filiale détenue exclusivement de Norin Mining Limited (Norin Mining).

La transaction marque l’aboutissement réussi d’un examen stratégique suivi d’un processus de recherche d’investisseurs à l’échelle mondiale qui a été lancé en septembre 2023. La Société prévoit que la transaction sera finalisée au quatrième trimestre 2024, sous réserve de la satisfaction des conditions préalables à la réalisation de la transaction.

La transaction permettra à la Société de régler ses emprunts existants, de faire face à ses obligations envers ses créanciers et d’introduire un nouveau propriétaire disposant des ressources financières et des capacités techniques nécessaires pour mener à bien l’expansion d’Etoile et le développement de Mutoshi au bénéfice de toutes les parties prenantes et de la République Démocratique du Congo (RDC).

MRR Mining S.A. (MRR Mining), fondée en 2001 par son président, Shiraz Virji, est fière d’exploiter et de développer des projets de cuivre et de cobalt en RDC. Au cours des deux dernières décennies, MRR Mining a produit plus de 300.000 tonnes de cuivre et 55.000 tonnes d’hydroxyde de cobalt à partir de sa mine de l’Etoile. L’avenir de MRR Mining réside dans l’expansion de sa mine de l’Etoile (connue sous le nom d’Etoile Phase 2) et la construction d’une nouvelle mine, Mutoshi, qui sont toutes deux à un stade avancé de développement et ont le potentiel de produire collectivement plus de 75.000 tonnes de cuivre et 20.000 tonnes d’hydroxyde de cobalt par an.

Examen stratégique et processus d’investissement

Ces dernières années, MRR Mining s’est engagée dans une expansion significative de sa mine de l’Etoile dans la province du Katanga (Lubumbashi), ainsi que dans le développement d’une nouvelle mine majeure à Mutoshi dans la province du Lualaba (Kolwezi). Malgré un investissement important de plus de 600 millions de dollars, un financement supplémentaire a été nécessaire pour mener à bien ces projets. Ce déficit de financement est dû à la baisse des prix du cuivre et du cobalt qui a eu un impact sur les flux de trésorerie générés par la mine de l’Etoile, ainsi qu’aux pressions inflationnistes dans l’ensemble du secteur minier mondial. En conséquence, en août 2023, un examen stratégique dirigé par Jeremy Meynert a été lancé à l’égard de CRL.

Après un examen approfondi des différentes possibilités de financement pour la Société, la décision a été prise d’entamer un processus d’investissement en fonds propres pour obtenir un investissement direct au niveau de CRL, y compris la vente potentielle de la Société.

L’objectif du processus d’investissement en fonds propres de CRL, qui a débuté en septembre 2023, était de trouver un investisseur ayant fait ses preuves en matière d’exploitation responsable et de développement de projets, capable de mener à bien le développement de la phase 2 d’Etoile et de Mutoshi.

La Société a suscité un vif intérêt de la part d’un large éventail d’investisseurs du monde entier, et le processus a finalement abouti à la transaction proposée avec Norin Mining.

Aperçu de la transaction

Norin Mining Kingco Limited, une filiale détenue exclusivement par Norin Mining, a signé un Contrat d’achat d’actions avec la société mère de CRL, MRR Mining Group Limited, en vertu duquel elle acquerra toutes les actions de MRR Mining Group Limited dans CRL. Malgré cette transaction, MRR Mining restera une filiale de CRL.

MRR Mining est pleinement consciente que ses fidèles soutiens ont été confrontés à des défis considérables en attendant le paiement des factures impayées, mais elle est heureuse de confirmer que la réussite du processus d’investissement dans CRL permettra d’honorer les obligations. Les factures impayées seront rapidement payées à la clôture de la transaction ou aux alentours de celle-ci, ce qui est prévu au quatrième trimestre 2024, sous réserve de la conclusion d’un accord de règlement avec MRR Mining.

MRR Mining Resources Limited (CRL or Company) is pleased to announce that it has agreed terms for the sale of the Company (including its subsidiaries) to a wholly-owned subsidiary of Norin Mining Limited (Norin Mining).

The proposed transaction marks the successful completion of a strategic review and subsequent global investor search process which was initiated in September 2023. The Company anticipates that the proposed transaction will be completed in Q4 2024, upon the satisfaction of conditions precedent to completion of the transaction.

The transaction will enable the Company to settle its existing borrowings, address its obligations to its creditors and introduce a new owner with the financial resources and technical capabilities to complete the expansion of Etoile and the development of Mutoshi for the benefit of all stakeholders and the Democratic Republic of the Congo (DRC).

Strategic Review and Investment Process

In recent years, MRR Mining embarked on a significant expansion at its Etoile mine in the Katanga Province (Lubumbashi) alongside the development of a major new greenfield mine at Mutoshi in the Lualaba Province (Kolwezi). Despite significant investment of over US$600 million, additional funding was required to complete these projects. This funding shortfall was a function of a decline in copper and cobalt prices which impacted cash flow generated by its existing Etoile mine as well as inflationary pressures across the global mining sector. As a result, in August 2023, a strategic review led by Jeremy Meynert was initiated in respect of CRL.

Following an extensive review of various funding alternatives for the Company, the decision was made to commence an equity investment process to secure direct investment at the CRL-level including the potential sale of the Company.

CRL’s focus of the equity investment process, which commenced in September 2023, was to secure an investor with a proven track record in responsible mining operations and project development that could complete the development of Etoile Phase 2 and Mutoshi.

The Company received strong interest from a broad cross-section of investors from across the globe with the process ultimately culminating in the proposed transaction with Norin Mining.

Transaction Overview

Norin Mining Kingco Limited, which is a wholly-owned subsidiary of Norin Mining, has signed a Share Purchase Agreement with CRL’s parent company, MRR Mining Group Limited, under which it will acquire all of MRR Mining Group Limited’s shares in CRL. Notwithstanding this transaction, MRR Mining will continue to be a subsidiary of CRL.

Norin Mining Kingco Limited has also agreed to acquire Shiraz Virji’s direct shareholding in MRR Mining.

The DRC Government has provided its approval for the sale of CRL (which will result in an indirect change of control in MRR Mining).

The transaction remains subject to customary conditions precedent to close including the approval of MRR Mining’s respected partner at Mutoshi, Gecamines S.A., and Chinese regulatory approvals.

The transaction consideration will be primarily distributed to CRL’s and MRR Mining’s lenders and creditors.

Settlement agreements have already been signed with CRL’s and MRR Mining’s major lenders.

Over the coming weeks, MRR Mining will be in contact with its creditors with settlement terms. MRR Mining fully appreciates that its loyal supporters have faced considerable challenges while awaiting payment of outstanding invoices but is pleased to confirm that the successful completion of the CRL investment process will enable obligations to be addressed. Outstanding invoices will be promptly paid on or around transaction close which is expected in Q4 2024 subject to entry into a settlement agreement with MRR Mining.

MRR Mining Ressources Limited (CRL) fait la mise au point sur le developpement de sa nouvelle stratégie à la suite d’une récente couverture médiatique.

Enregistrée sur l’île de Man, CRL est la société mère de la société miniere, productrice de cuivre-cobalt, MRR Mining SA (MRR Mining ou la Société).

MRR Mining, qui est une entreprise de droit Congolais, est fière d’exploiter et de développer ses mines en RDC. Elle a une expérience de 20 ans dans le développement responsable de ses activités minières et a produit plus de 275 000 tonnes de cuivre et 50 000 tonnes d’hydroxyde de cobalt à partir de sa mine de l’Étoile. Les activités de la Société apportent des profits significatifs aux communautés environnantes impactées par ses projets en particulier ainsi qu’à toute la RDC dans son ensemble.

La Société s’est lancée dans une expansion ambitieuse de sa mine de l’Étoile (expansion connue sous le nom de « Étoile Phase 2 ») et dans la construction et le développement d’une nouvelle mine, Mutoshi. Ces projets, achevés à plus de 80 %, produiront collectivement, à leur phase finale, plus de 75 000 tonnes de cuivre et 25 000 tonnes d’hydroxyde de cobalt par an.

À ce jour, plus de 570 millions de dollars américains ont été investis dans le développement de l’Étoile Phase 2 et de Mutoshi ; et environ 250 à 300 millions de dollars américains restent nécessaires pour atteindre la phase de production dans ces deux projets.

En août 2023, CRL a mis sur pieds un programme strategique concernant MRR Mining SA en vue d’obtenir le financement nécessaire pour mettre en production Etoile Phase 2 et Mutoshi le plus rapidement possible compte tenu de l’importance de ces projets pour la RDC et sa population. Dans le cadre de ce programme, CRL évalue toutes les alternatives d’investissement possibles concernant MRR Mining.

Il existe toute une série de résultats possibles à la suite de ce programme parmi lesquels la vente des actions de CRL ou l’introduction d’un nouveau partenaire financier.

MRR Mining Resources Limited (CRL) provides an update on its strategic review process following recent media coverage.

Incorporated in the Isle of Man, CRL is the parent company of established copper-cobalt producer and developer MRR Mining SA (MRR Mining or the Company).

MRR Mining which is incorporated in the Democratic Republic of the Congo (DRC) is a proud operator and developer of mines in the DRC. MRR Mining has a 20-year track record in responsible development and mining activities and has produced more than 275,000 tonnes of copper and 50,000 tonnes of cobalt hydroxide from its Etoile Mine. The Company’s activities deliver significant benefits to the communities in which the Company operates and the DRC at large.

The Company has embarked on an ambitious expansion of its Etoile Mine (known as “Etoile Phase 2”) and the construction of a new greenfield mine, Mutoshi. These projects which are more than 80% complete will collectively produce, at their peak, more than 75,000 tonnes of copper and 25,000 tonnes of cobalt hydroxide annually.

To date, over US$570 million has been invested in the development of Etoile Phase 2 and Mutoshi with approximately US$250-300 million required to bring Etoile Phase 2 and Mutoshi to production.

In August 2023, CRL commenced a strategic review process in respect of MRR Mining with a view to securing funding to bring Etoile Phase 2 and Mutoshi to production as quickly as possible given the significance of these projects to the DRC and its people. As part of this process, CRL is evaluating all possible investment alternatives with respect to MRR Mining.

There are a range of possible outcomes from this strategic review process including the sale of the shares in CRL or the introduction of a new funding partner.

While there may be a new owner of CRL in the future, CRL emphasises that its local DRC company, MRR Mining, will continue to be a wholly-owned subsidiary of CRL. Hence, our employees will continue as MRR Mining employees and there will be no change in the direct ownership of MRR Mining irrespective of the investment alternative pursued.

Media Statement: Response to Amnesty International Report

 

MRR Mining SA (“MRR Mining” or the “Company”) provides the following response to Amnesty International’s (“Amnesty”) report titled “Powering Change or Business as Usual” (the ”Report”) in relation to its Mutoshi copper and cobalt project (“Mutoshi”) in Kolwezi, the Democratic Republic of the Congo (the “DRC”).

MRR Mining has been in dialogue with Amnesty prior to the publication of the Report and thanks the organisation for its research and work in its steadfast efforts to protect human rights globally. MRR Mining has a firmly embedded culture of social responsibility and operates according to international good practice standards and guidelines (IFC performance standards on Environmental and Social Sustainability and Equator Principles). We also share Amnesty’s principles regarding protecting human rights.

As an operator in the DRC for over 20 years, the Company continues to be deeply concerned and saddened to learn of any mistreatment of communities and of illegal and forced resettlement. We do not condone any such illegal activities.

Events of 2016 pre-date MRR Mining’s permitted mobilisation at Mutoshi

As documented in the published letters to Amnesty, MRR Mining was not in any way involved, in the destruction of a village allegedly called Mukumbi on at Mutoshi in 2016.

The alleged events relating to the illegal removal of a settlement in 2016 pre-date MRR Mining’s mobilisation at Mutoshi.

MRR Mining was only permitted full access to Mutoshi by Gécamines in December 2017. Construction activities did not commence until 2018.

MRR Mining first became aware of the alleged events in the Report in 2019. These accusations were subsequently heard in the Kolwezi High Court in 2021 in which the Judge ruled that these claims were ‘unfounded’.

The Company has successfully worked in tandem with a number of NGOs including at Mutoshi. In this regard, we welcome a long-term relationship with Amnesty and have extended an open invite to the organisation to visit our operations and communities on a regular basis to better understand and see the positive impact we are bringing to our communities first hand.
