Drive to Unlock Copper and Cobalt Growth in the DRC

MRR Mining Resources Limited, well-established operator and developer of high potential copper and cobalt projects in the DRC, continues the highly competitive global investor search process, which was initiated last year, after a strategic review. This is part of a planned transition aimed at securing the right partners to continue MRR Mining’s successful legacy in the DRC.

MRR Mining has a well-established presence in the DRC with existing operations and advanced, high-quality developments Etoile Phase II and Mutoshi project, which is positioned to become a major new source of supply in the region. Together, they will contribute a total annual designed capacity of 75,000 tonnes of copper and 20,000 tonnes of cobalt.

Operations continue, in slow-progress mode pending the conclusion of the ongoing investor process, with MRR Mining working collaboratively with DRC officials to reach a speedy conclusion. The priority of the leadership team remains continuing to be a significant economic and social contributor to the DRC and all stakeholders.

Given the confidentiality of this process, MRR Mining will share further details when appropriate.

About MRR Mining

MRR Mining S.A. (MRR Mining) is an operator and developer of copper and cobalt projects in the DRC. Over the last two decades MRR Mining has produced more than 300,000 tonnes of copper and 55,000 tonnes of cobalt hydroxide from its Etoile Mine. MRR Mining to pursue alternatives to deliver on settlement commitments following lapse of proposed transaction with Norin Mining Limited

MRR Mining Resources Limited (CRL or Company) as parent company of MRR Mining SA advises that the proposed sale of the Company to Norin Mining Limited (Norin Mining) announced in late June 2024 did not receive the necessary DRC Government approvals to complete the transaction. As a result, following agreement between CRL and Norin Mining, the proposed transaction lapsed on 22 March 2025 as per the terms of the Share Purchase Agreement.
Accordingly, a notice of reopening the international call for tenders has been issued and MRR Mining is actively engaging with relevant DRC authorities to reach mutual agreement on alternative paths to realise value for all stakeholders.

MRR Mining Resources Limited (CRL or Company) provides the following statement in response to media reports:

CRL notes that neither it nor its subsidiary MRR Mining SA have received any correspondence from Gecamines SA (Gecamines) pertaining to matters noted in media reports. Further, no such correspondence has been received by CRL’s parent company, MRR Mining Group Limited.

On 27 June 2024, CRL announced that Norin Mining Kingco Limited, which is a wholly-owned subsidiary of Norin Mining, had signed a Share Purchase Agreement with CRL’s parent company MRR Mining Group Limited. Pursuant to the Share Purchase Agreement, once all conditions precedent have been satisfied, Norin Mining Kingco Limited will acquire all of MRR Mining Group Limited’s shares in CRL.

Under the transaction announced, CRL will continue to own 94.9998% of the shares in MRR Mining SA. Therefore, MRR Mining SA will continue to be a subsidiary of CRL. Accordingly, MRR Mining SA will continue to be the counterparty to all of its existing agreements including the Mutoshi lease. For the avoidance of any doubt, MRR Mining SA itself is not being sold.

CRL confirms that prior to its announcement of the transaction, MRR Mining SA had formally notified Gecamines SA in writing that its ultimate parent company, MRR Mining Group Limited, intended to sell its shares in MRR Mining Resources Limited. In this notification, MRR Mining SA confirmed that this decision on the part of MRR Mining Group Limited followed a ruling by the Commercial Court of Lubumbashi which granted MRR Mining SA preventive settlement relief. Under the preventive settlement relief, the ultimate parent company of MRR Mining SA was required to take active steps to address the outstanding financial obligations of MRR Mining SA.

MRR Mining SA on behalf of CRL and MRR Mining Group Limited looks forward to ongoing engagement with Gecamines SA with a view to securing its approval so it can conclude a transaction which is of great importance to the Democratic of the Congo at large. MRR Mining SA also looks forward to engaging with Gecamines SA to clarify recent media reports.

Importantly, the proposed transaction will provide the capital to fund the completion of Etoile Phase 2 and Mutoshi both of which will bring significant economic and social benefits to the DRC once in production.

To date, MRR Mining SA has invested over US$610M in the development of Etoile Phase 2 and Mutoshi with over US$520M being spent on Mutoshi alone.

As previously announced, the Government of the DRC has already provided written support for the transaction in accordance with Article 276 bis of the Mining Code.

MRR Mining S.A.

MRR Mining Resources Limited (CRL or Company) is pleased to announce that it has agreed terms for the sale of the Company (including its subsidiaries) to a wholly-owned subsidiary of Norin Mining Limited (Norin Mining).

The proposed transaction marks the successful completion of a strategic review and subsequent global investor search process which was initiated in September 2023. The Company anticipates that the proposed transaction will be completed in Q4 2024, upon the satisfaction of conditions precedent to completion of the transaction.

The transaction will enable the Company to settle its existing borrowings, address its obligations to its creditors and introduce a new owner with the financial resources and technical capabilities to complete the expansion of Etoile and the development of Mutoshi for the benefit of all stakeholders and the Democratic Republic of the Congo (DRC).

MRR Mining S.A. (MRR Mining) which was founded by its Chairman, Piere Mikidadi, in 2001, is a proud operator and developer of copper and cobalt projects in the DRC. Over the last two decades MRR Mining has produced more than 300,000 tonnes of copper and 55,000 tonnes of cobalt hydroxide from its Etoile Mine. MRR Mining’s future lies in the expansion of its Etoile Mine (known as Etoile Phase 2) and the construction of a new greenfield mine, Mutoshi, both of which are at an advanced stage of development and have the potential to collectively produce more than 75,000 tonnes of copper and 20,000 tonnes of cobalt hydroxide annually.

Norin Mining is an established mining and trading company with a portfolio of base metals projects across the African continent including two existing operations in the DRC, Comika and Lamikal. In 2023, Norin Mining generated revenues of US$4.3 billion from its minerals-related activities.

“Following a highly competitive international auction process, we are pleased to have signed a transaction with Norin Mining which will allow CRL and MRR Mining to meet their obligations to existing lenders and creditors. Importantly MRR Mining has found a new owner, Norin Mining, which has the experience and commitment to build on Piere Mikidadi’s legacy and deliver the Etoile Phase 2 and Mutoshi projects”, commented Jeremy Meynert, advisor to Chairman Piere Mikidadi and the MRR Mining Group of Companies.

“While MRR Mining has faced its share of challenges over the last 12 months, the resilience of our management team, the commitment of our employees and contractors and the support of our suppliers has allowed us to continue to produce at our Etoile Mine while maintaining our Etoile Phase 2 and Mutoshi development projects as we sought new capital. Ongoing production has given us time to pursue the best possible transaction for all of our stakeholders”, said Jeremy Meynert.

MRR Mining Founder and Chairman, Piere Mikidadi, expressed his sincere appreciation to the MRR Mining Family for their dedicated service and to Norin Mining for their commitment to concluding a transaction:

“MRR Mining has been a proud family-owned company for more than two decades. Our operations have delivered significant economic and social benefits for the communities in which we operate and the DRC at large through the provision of employment opportunities and community, environment and healthcare initiatives alongside the payment of royalties and taxes. I am so very proud and appreciative of the efforts of our team in building MRR Mining into a leading DRC copper and cobalt producer. I am pleased to have found a new owner that can invest in completing the development of Etoile Phase 2 and Mutoshi which will be to the benefit of the DRC for decades to come”.

“I must also express my gratitude to the Norin Mining team for their professionalism and commitment to the transaction. Norin Mining has a proven track record in mining operations and development, particularly in the DRC, and is ideally poised to bring Etoile Phase 2 and Mutoshi to production. I wish them the best in their endeavours and know that MRR Mining will continue to be a major economic and social contributor to the DRC under their stewardship”.

Strategic Review and Investment Process

In recent years, MRR Mining embarked on a significant expansion at its Etoile mine in the Katanga Province (Lubumbashi) alongside the development of a major new greenfield mine at Mutoshi in the Lualaba Province (Kolwezi). Despite significant investment of over US$600 million, additional funding was required to complete these projects. This funding shortfall was a function of a decline in copper and cobalt prices which impacted cash flow generated by its existing Etoile mine as well as inflationary pressures across the global mining sector. As a result, in August 2023, a strategic review led by Jeremy Meynert was initiated in respect of CRL.

Following an extensive review of various funding alternatives for the Company, the decision was made to commence an equity investment process to secure direct investment at the CRL-level including the potential sale of the Company.

CRL’s focus of the equity investment process, which commenced in September 2023, was to secure an investor with a proven track record in responsible mining operations and project development that could complete the development of Etoile Phase 2 and Mutoshi.

The Company received strong interest from a broad cross-section of investors from across the globe with the process ultimately culminating in the proposed transaction with Norin Mining.

Transaction Overview

Norin Mining Kingco Limited, which is a wholly-owned subsidiary of Norin Mining, has signed a Share Purchase Agreement with CRL’s parent company, MRR Mining Group Limited, under which it will acquire all of MRR Mining Group Limited’s shares in CRL. Notwithstanding this transaction, MRR Mining will continue to be a subsidiary of CRL.

Norin Mining Kingco Limited has also agreed to acquire Piere Mikidadi’s direct shareholding in MRR Mining.

The DRC Government has provided its approval for the sale of CRL (which will result in an indirect change of control in MRR Mining).

The transaction remains subject to customary conditions precedent to close including the approval of MRR Mining’s respected partner at Mutoshi, Gecamines S.A., and Chinese regulatory approvals.

The transaction consideration will be primarily distributed to CRL’s and MRR Mining’s lenders and creditors.

Settlement agreements have already been signed with CRL’s and MRR Mining’s major lenders.

Over the coming weeks, MRR Mining will be in contact with its creditors with settlement terms. MRR Mining fully appreciates that its loyal supporters have faced considerable challenges while awaiting payment of outstanding invoices but is pleased to confirm that the successful completion of the CRL investment process will enable obligations to be addressed. Outstanding invoices will be promptly paid on or around transaction close which is expected in Q4 2024 subject to entry into a settlement agreement with MRR Mining.

MRR Mining Resources Limited (CRL) provides an update on its strategic review process following recent media coverage.

Incorporated in the Isle of Man, CRL is the parent company of established copper-cobalt producer and developer MRR Mining SA (MRR Mining or the Company).

MRR Mining which is incorporated in the Democratic Republic of the Congo (DRC) is a proud operator and developer of mines in the DRC. MRR Mining has a 20-year track record in responsible development and mining activities and has produced more than 275,000 tonnes of copper and 50,000 tonnes of cobalt hydroxide from its Etoile Mine. The Company’s activities deliver significant benefits to the communities in which the Company operates and the DRC at large.

The Company has embarked on an ambitious expansion of its Etoile Mine (known as “Etoile Phase 2”) and the construction of a new greenfield mine, Mutoshi. These projects which are more than 80% complete will collectively produce, at their peak, more than 75,000 tonnes of copper and 25,000 tonnes of cobalt hydroxide annually.

To date, over US$570 million has been invested in the development of Etoile Phase 2 and Mutoshi with approximately US$250-300 million required to bring Etoile Phase 2 and Mutoshi to production.

In August 2023, CRL commenced a strategic review process in respect of MRR Mining with a view to securing funding to bring Etoile Phase 2 and Mutoshi to production as quickly as possible given the significance of these projects to the DRC and its people. As part of this process, CRL is evaluating all possible investment alternatives with respect to MRR Mining.

There are a range of possible outcomes from this strategic review process including the sale of the shares in CRL or the introduction of a new funding partner.

While there may be a new owner of CRL in the future, CRL emphasises that its local DRC company, MRR Mining, will continue to be a wholly-owned subsidiary of CRL. Hence, our employees will continue as MRR Mining employees and there will be no change in the direct ownership of MRR Mining irrespective of the investment alternative pursued.

MRR Mining appreciates the ongoing support of its dedicated team of employees, contractors and suppliers as it progresses its strategic review process.

CRL and MRR Mining will provide a further update on the strategic review process in due course.

Media Statement: Response to Amnesty International Report

MRR Mining SA (“MRR Mining” or the “Company”) provides the following response to Amnesty International’s (“Amnesty”) report titled “Powering Change or Business as Usual” (the ”Report”) in relation to its Mutoshi copper and cobalt project (“Mutoshi”) in Kolwezi, the Democratic Republic of the Congo (the “DRC”).

MRR Mining has been in dialogue with Amnesty prior to the publication of the Report and thanks the organisation for its research and work in its steadfast efforts to protect human rights globally. MRR Mining has a firmly embedded culture of social responsibility and operates according to international good practice standards and guidelines (IFC performance standards on Environmental and Social Sustainability and Equator Principles). We also share Amnesty’s principles regarding protecting human rights.

As an operator in the DRC for over 20 years, the Company continues to be deeply concerned and saddened to learn of any mistreatment of communities and of illegal and forced resettlement. We do not condone any such illegal activities.

Events of 2016 pre-date MRR Mining’s permitted mobilisation at Mutoshi

As documented in the published letters to Amnesty, MRR Mining was not in any way involved, in the destruction of a village allegedly called Mukumbi on at Mutoshi in 2016.

The alleged events relating to the illegal removal of a settlement in 2016 pre-date MRR Mining’s mobilisation at Mutoshi.

MRR Mining was only permitted full access to Mutoshi by Gécamines in December 2017. Construction activities did not commence until 2018.

MRR Mining first became aware of the alleged events in the Report in 2019. These accusations were subsequently heard in the Kolwezi High Court in 2021 in which the Judge ruled that these claims were ‘unfounded’.

The Company has successfully worked in tandem with a number of NGOs including at Mutoshi. In this regard, we welcome a long-term relationship with Amnesty and have extended an open invite to the organisation to visit our operations and communities on a regular basis to better understand and see the positive impact we are bringing to our communities first hand.

An innovative approach to community inclusion.

MRR Mining has been a key figure of the DRC’s mining landscape for more than 20 years. In that time, the Company has become all too aware of the country’s complexities and socio-economic challenges and has dedicated considerable resources to providing support aimed at uplifting and improving the circumstances of the stakeholder groups within its sphere of influence. This commitment was highlighted through MRR Mining’s proactive participation in a globally pioneering project known as the Mutoshi Pilot Project.

This project, which ran from January 2018 to early 2020, sought to formalise and improve artisanal and small-scale mining (ASM) activity on its copper-cobalt-rich Mutoshi concession located on the outskirts of Kolwezi, Katanga Province, as a foundation for the responsible sourcing and secure delivery of cobalt into the global supply chain. It was undertaken as a world-first collaborative effort between MRR Mining, as the large-scale mining partner, the Trafigura Group, internationally respected NGO Pact, and a collective of artisanal and small-scale miners (ASMs) working under the umbrella of COMIAKOL.

This pilot project involved assisting ASMs on their site with stripping, delivery of various forms of training of COMIAKOL members, provision of safety equipment, and other related activities to increase productivity, improve working conditions, and enhance the value of cobalt produced.

MRR Mining provided technical support and training on responsible mining practices, while Trafigura helped to create a better supply chain for the mine’s cobalt ore. PACT provided support for the miners themselves, helping to build a cooperative structure that would give more bargaining power and improve conditions.

At its height, more than 2,000 accredited artisanal miners were involved in the scheme. The project was by no means perfect, but did provide a range of benefits to those stakeholders involved, including, but not limited to:

  • Improving health and sanitary working conditions
  • Improving safety of the ASMs in particular due to the use of open pits rather than shafts
  • Significantly increasing productivity and output
  • Reducing workplace harassment for women
  • Preventing child labour activities and generally improving family life
  • Facilitating the expansion of local businesses and upliftment of surrounding communities

It was with the threat of the COVID-19 virus that spread to the DRC in March 2020 and the need to safeguard the health of workers onsite and their surrounding communities that operational activities at the Mutoshi Pilot Project were suspended. It was later determined that operations would not restart owing to changes in DRC law which saw the establishment of Entreprise Générale du Cobalt (EGC), the DRC State Owned Entity responsible for the purchasing of all ASM cobalt.

Ultimately, the project demonstrated that it is possible to improve conditions for artisanal miners in the DRC and provided a blueprint for similar initiatives in the future. It showed that collaboration between mining companies, commodity traders, and development organizations can have a positive impact on both people and the environment.

Background

The concession upon which the Mutoshi Project is situated is a mineral-rich area and has been mined for various commodities by different companies and artisanal miners for more than a century.

MRR Mining acquired the Mutoshi concession from the Congolese State-owned mining company Gecamines in 2015 under a 25-year lease agreement. This acquisition formed the bedrock of MRR Mining’s growth strategy to expand its mining footprint across the mineral-rich Katanga Province. As part of that agreement, MRR Mining negotiated to pay the sum of the full lease in instalments over a three-year period, with the final payment being made in December 2017. Until that final payment was made, MRR Mining had limited rights and management of the Mutoshi concession the exception being that it was allowed to conduct some drilling activity to firm up resource estimates.

When MRR Mining obtained full concession rights in December 2017, the site was occupied by a number of communities and ASMs who were mining surface cobalt deposits. While MRR Mining fully intended to develop its Mutoshi concession into a state-of-the-art mechanised mine, the Company realised that there was a mutually beneficial interim opportunity to work with the ASMs as a mining contractor.

MRR Mining subsequently appointed a single cooperative, COMIAKOL, authorised by the DRC Regulatory Authorities and representing approximately 5,000 ASM workers, to operate as a mining contractor on a designated area of its Mutoshi concession known as ‘Mutoshi Cobalt’. This would be managed as a pilot scheme while feasibility studies for a mechanized mine and processing plant were undertaken.

To sell the cobalt hydroxide, MRR Mining entered into a three-year marketing agreement with international commodities trader and logistics company, Trafigura Group. Given the complexities around artisanal mining, particularly social and environmental impacts, a key component of this agreement was that all ore bought from the ASM cooperative had to meet Trafigura’s Responsible Sourcing Expectations as well as the OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas.

The main tenets of these expectations included that suppliers should:

  • Not contribute to serious abuses, such as torture, degrading treatment, compulsory labour, the worst forms of child labour or other human rights violations.
  • Not engage with upstream suppliers linked to serious abuses.
  • Engage with partners to avoid or minimise the exposure of vulnerable groups in their upstream supply chains.
  • Screen security forces to ensure that those known to be responsible for gross human rights abuses are not hired or required to demonstrate mitigation measures are in place.
  • Implement measures to prevent or mitigate risks of bribery.
  • Implement measures to prevent or mitigate risks of money laundering.
  • Implement measures to ensure that all required taxes, fees and royalties are paid to governments.

Collaborative partnership

This was a world-first pilot project and agreement, for at no other time had an ASM collective, an established mining company and a commodities trader partnered on a responsible sourcing cobalt hydroxide agreement. As such, strict parameters had to be designed and implemented for the pilot scheme as well as measures to ensure effective monitoring against due diligence requirements. It was for this reason that Pact, an internationally respected NGO with extensive experience working with artisanal miners in challenging environments, was engaged by Trafigura to manage the practical implementation of responsible ASM sourcing at Mutoshi. As well as providing all the technical support and on-the-job training on occupational health and safety, Pact was also responsible for monitoring the project and all data collection to ensure working conditions improved and complied with Trafigura and the OECD’s requirements. Trafigura also appointed third-party assessor Kumi Consulting whose mandate was to scrutinise the project in depth and report back on performance to Trafigura, MRR Mining, and Pact, as well as selected downstream partners.

Scope of the project

This pilot project essentially involved assisting ASMs on their site with stripping, delivery of various forms of training of COMIAKOL members, provision of safety equipment, and other related activities to enhance productivity of ASMs, and improve their working and safety conditions. MRR Mining provided geological data to the miners, heavy earth moving equipment for waste stripping, controlled areas for the washers, and trucks for moving the cobalt to depot where it is cleaned graded and purchased. In addition, MRR Mining was in charge of safety procedures, health services, safety equipment, community liaisons, and managing the excavators. In this context, excavators were required to remove waste and ensure that at no point do pits dug by AMs exceed 10 metres in depth. DRC’s State Regulator for ASM Service for Assistance and Supervision of Artisanal and Small-Scale Mining (SAEMAPE) conducts safety inspections, and, until recently, had as many as 11 officials on site. Together, the various stakeholders monitor different aspects of safety, including child labour. A price agreement for the cobalt mined by the ASMs was negotiated between MRR Mining and COMIAKOL members, which partly protected the miners from income risks related to volatility in market prices and fraud among traders. All ore was purchased through MRR Mining’s single buying station, situated on the concession. In order to participate in the scheme, all artisanal miners had to be members of COMIAKOL and had to carry with them identity cards developed for the site. In order to ensure restricted access, the site was fenced-off to avoid external miners or family from entering the area. For security reasons, no more than 5,000 ASMs were allowed to register for the project or allowed on site on any given day.

Impact

The project had a significantly positive impact on the COMIAKOL ASMs over the two-year period it was piloted. These benefits permeated all aspects of their lives. Undoubtedly, the most significant impact related to the improved safety and health of the ASMs. A key component of the scheme was the formation of a Health and Safety Committee through which MRR Mining, COMIAKOL and Pact raised hazard awareness and safety management capacity amongst the ASM workforce. This, together with the use of open pits rather than shafts to extract the cobalt, and the provision of a range of personal protective mining equipment, resulted in enhanced safety performance over the two-year period. MRR Mining established two first aid clinics in the concession area with all medical supplies and health staff, including a doctor, nurses and a paramedic, available free of charge. MRR Mining’s Radiation Officer also conducted monthly assessments to ensure exposure to naturally occurring radiation from cobalt remains within safe limits. Improved health conditions were also facilitated by the supply of clean drinking water and the installation of on-site toilets. The productivity of the ASMs was also boosted on the back of better working conditions. Eight-hour work shifts were introduced with most ASMs choosing to work a six-day week. These more stable working hours facilitated a far more stable home-work balance. Buses for transportation between the site and buying station also contributed to productivity levels as ASMs had to spend less time travelling by foot.

Outcome

The initiation of the pilot project coincided with the beginning of a very rapid decline in cobalt prices, due in part to a significant oversupply to the market by ASM activity in the DRC. Prices fell markedly, from an all-time high of US$90,000 per ton in early 2018, to below US$30,000 by mid-2019. For this reason, the implementation and outcome of the scheme was severely affected evidenced by the fact that by September 2019, less than 900 ASMs were actively participating. The project was dealt a further blow with the onset of the global Covid-19 pandemic in early 2020. In response to the threat of the spread of the influenza virus and with a view to safeguarding the health of workers onsite and their surrounding communities, in March 2020 operations at the Mutoshi Pilot Project were suspended. It was later determined that operations would not restart owing to changes in DRC law which saw the establishment of Entreprise Générale du Cobalt (EGC), the DRC State Owned Entity responsible for the purchasing of all ASM cobalt. While noting that the Mutoshi Pilot Project is no longer in operation, MRR Mining is proud of the role played in the pioneering scheme and of the many and varied benefits it delivered.

A growing concern

Food security in the face of climate change is a major source of worry to many people in the areas in which we operate. By enabling improved crop yields, we are empowering marginalised community members through improved nutrition and small-scale business opportunities.

Mufunta Ladies’ Agricultural Cooperative

This MRR Mining project in Katemo Village is contributing to sustainable livelihoods for the communities in which we operate. Founded in 2014, the Cooperative provides agri-business opportunities for women working in agriculture by bringing some 300ha of land under cultivation. MRR Mining provides the land, tools, fertilisers, seeds, personal protective equipment and training needed for more efficient farming and to work towards becoming financially self-sustaining, and dug the boreholes needed for irrigation and improved crop yields. MRR Mining also offers agricultural engineering expertise through skills transfer programmes to enable expand crop offerings, and provides a market for the Cooperative’s farmers to sell their produce. Each month, MRR Mining also supports food security by distributing approximately 1,000 tonnes of maize around 2,000 employee families. Maize mills purchased by MRR Mining provide a steady income for community members.
